Nearly 90 years after his death, the name Thomas Edison still stands as a synonym for invention and technical wizardry. Yet aside from a short list of his inventions, I couldn’t say that I knew all that much about him. So, when I saw that Edmund Morris had written a new biography—titled simply “Edison”—I couldn’t resist learning more. Morris is perhaps best known as the author of the magisterial three volume biography of Theodore Roosevelt, of which “The Rise of Theodore Roosevelt” won the Pulitzer Prize. While not as long as that combined output, at over 800 pages, “Edison” is still a bit daunting. But with a life as long and productive as Edison’s, the book never lagged, presenting a fascinating record of both disappointment and achievement. Morris made a curious choice as a biographer. (United States Third Circuit) - Dismissal of a shareholder action alleging that defendant Board of Directors and the individual members failed to comply with its 2007 plan which would render tax deductible certain incentive compensation paid to the company's executives, which allegedly resulted in the payment of more than $36 million of excess compensation, is affirmed, where: 1) with regard to the derivative suit, plaintiff did not make a pre-suit demand to the Board of Directors or present sufficient allegations explaining why a demand would have been futile; and 2) with regard to the direct suit, federal tax law does not confer voting rights on shareholders not otherwise authorized to vote or affect long-settled Delaware corporation law which permits corporations to issue shares without voting rights, so plaintiff's contention regarding defendant-company's issuance of non-voting shares fails to state a claim on which relief may be granted.

(United States Second Circuit) - Affirming the district court's dismissal of a defamation action as it related to out-of-state defendants because Connecticut's long-arm jurisdiction over out-of-state defendants excepting defamation actions does not violate the plaintiff's First or Fourteenth Amendment rights in a case where a media publisher reported on the plaintiff's lawsuit accusing their former Netherlands employer of a kickback operation involving Qaddafi and quoted the employer's statements about him, but reversing and remanding a decision that the plaintiff had failed to state a claim as it related to the employer's statements that he had repeatedly tried to extort money from them to determine whether the implication was indeed defamatory.
