Uber is testing a new feature in California that allows some drivers to set their own rates. The move comes in response to a new state law that requires more companies to convert their contract workers to employees, which means offering them benefits and added protections. Companies including Uber, Lyft and delivery app Postmates argue that doing so would upend their business model and eliminate the flexibility inherent to the gig economy. Uber is currently testing a feature at airports in Sacramento, Palm Springs and Santa Barbara that allows drivers to increase fares in 10% increments, up to five times the base rate. Riders are then matched with the lowest fare. In the coming days, Uber says it will also allow drivers to decrease their prices below the base rate and opt out of surge pricing. The ride-hailing giant said Thursday it is offloading Jump, its bike and scooter business, to Lime, a company in which it is investing $85 million. Jump had been losing about $60 million a quarter.

Uber plans to implement a new policy that will require its drivers and riders to wear face masks or face coverings when using the ridesharing platform in certain countries, including the U.S., CNN Business reported. According to the report, the rule could be be rolled out in the coming weeks as Uber expects to restart its ridesharing business amid the coronavirus pandemic.

Dunkin' is expanding its delivery options by adding Uber Eats, as customers stay at home due to the coronavirus pandemic. The coffee and baked goods chain said that with the new partnership, Dunkin' delivery is now available through Uber Eats at over 1,700 restaurants. The partnership will be expanded to more than 4,000 total locations nationwide by the end of May.

(California Court of Appeal) - Held that Google, which had initiated arbitration proceedings against two of its former employees, was entitled to obtain discovery from nonparty Uber. Google sought documents relating to Uber's purchase from the two former employees of a self-driving vehicle company called Ottomotto, which Google claimed the two employees created in breach of their contracts and fiduciary duties. Reversing the trial court, the California First Appellate District held that Uber could not withhold the requested documents on grounds of attorney-client privilege or the work-product doctrine.

(California Court of Appeal) - Affirming the trial court's decision to sustain a demurrer by Uber, who argued that the court lacked jurisdiction to hear a putative class action brought by licensed taxicab drivers because the Public Utilities Code did not apply where the California Public Utilities Commission was in the process of developing rules relating to the company's activites and the second amended complaint failed to state a claim as to all causes of action.

(California Court of Appeal) - Held that ride-sharing company Uber must comply with administrative subpoenas issued by San Francisco's City Attorney seeking data submitted to the California Public Utility Commission. Affirmed the decision below, rejecting Uber's confidentiality arguments.

(United States First Circuit) - Reversed and remanded in a case involving the enforcement of arbitration clauses in online contracts. Plaintiffs filed suit against defendant alleging violations of Massachusetts consumer-protection statute. Defendant operates a ride-sharing service requiring customers to register using the Uber App. In the app is a page that has a button that will take you to Terms and Conditions, which a user is not required to accept and which contains an agreement to arbitrate any dispute. The district court granted defendant's motion to compel arbitration and dismissed the complaint. In reversing and remanding the First Circuit held that the terms of the agreement were not reasonably communicated to plaintiffs.

Today’s CapChat looks at three current issues. 

First, with horse death investigations underway at Santa Anita Park, three more deaths have occurred in recent days. Since December 2018, there have been a total of 42 deaths at the park. California Gov. Gavin Newsom signed a law in June of 2019 allowing the state to suspend horse racing at tracks with dangerous conditions. That has, as yet, not happened at Santa Anita.

Next, in a new pilot program, Uber is giving some of its driving contractors more control by letting them set their own rates. Drivers at the Sacramento, Palm Springs and Santa Barbara airports can increase rates in ten percent increments, with a cap. Depending on results, Uber could expand this to other airports. This is an effort to clarify that Uber drivers are independent, not employees, since the implementation of AB 5 on Jan. 1, 2020.

Third, with the impeachment trial underway in the U.S. Senate, the date of President Donald Trump’s State of the Union somewhat uncertain, Newsom has yet to set a date for his own annual State of the State address.

(United States Third Circuit) - Affirming a district court dismissal of a case brought by numerous taxi associations seeking to prevent Uber from taking their business because Uber's conduct didn't arise to an antitrust violation, attempted monopoly, or other unfair business activity, even if it is killing the old taxicab businesses.

(California Court of Appeal) - Held that the trial court lacked subject matter jurisdiction to hear the People's claim alleging that the owner of a tobacco smoke shop on Indian lands was liable under California's Unfair Competition Law for violating various laws applicable to cigarette sales and marketing. Reverse an order granting summary adjudication to the People on this claim.

Uber also made a deal with Volvo to cooperate on self-driving cars. Self-driving cars are an existential threat to Uber if Uber doesn't develop them first. Suppose Ford makes self-driving cars viable a few years before does and rolls them out in many cities. Uber gets wiped out by Ford's ability to charge less for a ride. Uber's big competitive advantage from a large set of recruited drivers could vanish as fast as sufficiently safe autonomous vehicles can get manufactured. Sufficiently safe: that's the challenge. But autonomous vehicle makers who limit themselves to some urban markets can lower the bar for their initial roll-out by just excluding any streets and corners that are too tricky to handle. Jump had been losing about $60 million a quarter. "While our Rides business has been hit hard by the ongoing pandemic, we have taken quick action to preserve the strength of our balance sheet, focus additional resources on Uber Eats, and prepare us for any recovery scenario," said CEO Dara Khosrowshahi in a statement. "Along with the surge in food delivery, we are encouraged by the early signs we are seeing in markets that are beginning to open back up." On Wednesday, San Francisco-based Uber said it was cutting 3,700 full-time workers, or about 14% of its workforce, as people avoiding contagion either stay indoors or try to limit contact with others. Its main U.S. rival Lyft announced last month it would lay off 982 people, or 17% of its workforce because of plummeting demand. Careem, Uber's subsidiary in the Middle East, cut its workforce by 31%. Uber brought in $3.54 billion in revenue in the first quarter, up 14% from the same time last year. Revenue in its Eats meal delivery business grew 53% as customers shuttered at home opted to order in. Gross bookings grew 8% to $15.8 billion, with 54% growth in the food delivery business and a 3% decline in rides, on a constant currency basis. The report adds that rides were down 80% globally during the month of April. "But rides have been increasing for the past three weeks and bookings in large cities across Georgia and Texas, two states that started re-opening, are up 43% and 50% respectively from their lowest points," the report says.

The ride-hailing industry has taken a major hit from COVID-19 as potential customers remain confined to their homes, but Uber is in a good position to survive the crisis, three analysts who cover the company said.

"Their business model will be intact on the other side of this," said Dan Ives, a managing director of equity research at Wedbush Securities.

A strong cash reserve will help. After ending the first quarter with $9 billion in cash and short-term investments, Uber has the resources to survive a scenario in which the prevalence of COVID-19 and its effect on consumer behavior last for the next two years, said Mark Mahaney, a managing director at RBC Capital Markets.

On Thursday, Uber disclosed its first-quarter financial results, reporting an adjusted loss of $2.9 billion on revenue of $3.5 billion during the first three months of this year. Uber CEO Dara Khosrowshahi said on a call with analysts that the ride-hailing company would cut $1 billion in fixed costs. The company has recently removed its food-delivery service — Uber Eats — from eight unprofitable markets, folded its electric bike and scooter business into Lime (Uber recently led a $170 million investment round in the company), and announced it will lay off about 14% of its workforce.

Those moves should help Uber become profitable in 2021 (the company predicted in February that it would turn a profit by the end of this year), Ives said. Uber's management, which had struggled in the wake of the company's 2019 IPO, has performed well in the current crisis by being transparent with investors and quickly moving to reduce expenses, Ives said. Investors signaled their approval of the company's strategy by sending shares up as much as 8% in after-hours trading on Thursday.

Uber Eats was one of the highlights of the company's first-quarter results, said Tom White, a senior research analyst at DA Davidson, as gross bookings grew 52% from the first quarter of 2019 to $4.7 billion. Eats gives Uber an advantage over ride-hailing competitors that don't have a similar service, as it allows the company to keep homebound consumers using its app, White said. Even after the toll of COVID-19 begins to subside, demand for online food delivery could see continued growth, he added.

But there are still challenges ahead for Uber. The company said rides fell by as much as 80% in April, and Ives projects that 30% of the customers for gig-economy companies like Uber, Airbnb, and Lyft won't use a ride-hailing service until there's a vaccine for COVID-19. Yet the pandemic could leave Uber better off in the long run, White said.

"I saw and heard enough [during Uber's first-quarter earnings call] that makes it harder and harder for me to think that these guys don't emerge from this pandemic probably in a stronger competitive position and a healthier and leaner operating position," he said.
